This Sponsorship Agreement (“Agreement”) is entered into on this ___ day of __________, 2025, by and between:

Rob Henlon, representing Orlando International Fashion Week (OIFW), with principal offices located at 15108 Moultrie Pointe Rd, Orlando, FL 32828 (“Organizer”), and [Sponsor Name – Quin], owner of EyeCandi Beauty, with principal offices located at __________________________ (“Sponsor”).

Together referred to as “the Parties.”

1. PURPOSE

The purpose of this Agreement is to establish the terms and conditions under which Sponsor will provide financial support, products, and promotional materials for Orlando International Fashion Week, organized by OIFW, in exchange for marketing and promotional opportunities as outlined herein.

2. EVENT DETAILS

Event Name: Orlando International Fashion Week
Event Dates: November 9 or November 15, 2025 (Sponsor will select one)
Event Location: [Venue Name & Address]
Sponsorship Dates: [Insert Days/Events within Fashion Week to be Sponsored]

3. SPONSORSHIP PACKAGE AND FEES

Sponsor agrees to provide the following in consideration of sponsorship rights:
Sponsorship Fee: $150 (USD), due by November 3, 2025
Optional Add-On: Step-and-repeat logo inclusion is available for an additional $150.

Product Contribution: Sponsor shall provide the following beauty products for use, display, and/or gifting during the event:

• 35 units of Cotton Candi Gloss
• 35 units of Sugar Cane Gloss
• 35 units of Candi Apple Gloss
• 35 units of Dulce De Leche | Caramel Gloss
• 35 units of Luxury Lip Liner in varying shades: Chocolate Droppa, Raspberry Rose, Candi Apple
• Luxury Balm Butter (Pink Sugar)
• 50 units of Lashes (Spike & Ike, Candi Kisses, Cotton Candi)
• Glam Glue (white, black)
• Glam Up Mirror (Pink, Silver)
• Glam Up Bag
• EyeCandi GlamUp Style Kit

All products must be delivered to the Organizer no later than November 5, 2025, at [delivery location/address].

4. SPONSORSHIP RIGHTS AND BENEFITS

In exchange for the above sponsorship, Organizer shall provide the following benefits:

1. Brand Placement & Visibility

• Sponsor’s logo featured on event marketing materials, social media posts, press releases, and website.
• Backstage branding opportunities, including banners, signage, and step-and-repeat logo inclusion (if selected).
• Verbal acknowledgment during sponsored events or segments.

2. Product Integration

• Permission for Sponsor’s beauty products to be used by event makeup artists, stylists, or talent.
• Product display backstage (if applicable).

3. VIP Access & Networking

• [#] VIP passes to attend fashion week shows and networking events.

5. TERM AND TERMINATION

This Agreement shall commence upon signing and terminate after completion of all sponsorship obligations for the 2025 Fashion Week, unless extended in writing.

Either party may terminate this Agreement with written notice if the other party breaches any material term and fails to cure such breach within ten (10) days of notice.

6. INTELLECTUAL PROPERTY & USAGE RIGHTS

Sponsor grants Organizer the right to use Sponsor’s name, logo, and brand materials solely for the purpose of promoting the event.

Organizer grants Sponsor the right to use event photos and promotional materials featuring the Sponsor’s products for marketing purposes, with prior approval.

7. LIABILITY AND INDEMNIFICATION

Each party shall indemnify and hold harmless the other from any claims, damages, or losses arising from their respective actions, omissions, or negligence related to this Agreement or the event.

8. FORCE MAJEURE

Neither party shall be held liable for failure to perform obligations under this Agreement due to circumstances beyond their reasonable control, including natural disasters, acts of war, or government restrictions.

9. MISCELLANEOUS

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Florida.

Entire Agreement: This document constitutes the entire understanding between the Parties.

Amendments: Any modifications must be in writing and signed by both Parties.
